Statement on Transparency

Actionable beyond the brand.

On January 1, 2012, the State of California first enacted its Transparency in Supply Chains Act.
This regulation mandates how manufacturers and retailers must disclose efforts to prevent forced labor in their direct supply chains and for products offered for sale.

By requiring greater transparency about goods made available to its consumers, this law encouraged California consumers to make informed purchasing decisions. This is a mandatory provision for companies doing business in California; and eventually, many of these standards became readily accepted in other states or countries as new regulation and laws are enacted.

Verification

King Prawn Saltwater Shrimp Company (also referred to herein as "King Prawn") works with our vendor partners and agents to raise awareness of the issue of human trafficking. Those vendors that produce private label and exclusive merchandise for our company are required to identify manufacturing facilities, domestic and foreign, that they plan to use to produce such merchandise and to provide written certification that each facility will operate in compliance with our Policy and all applicable laws, including but not limited to, laws regarding slavery and human trafficking in the countries in which they do business.

King Prawn requires our vendors to maintain documentation necessary to demonstrate compliance in those factories producing merchandise or materials for King Prawn. Additionally, all subcontractors that a vendor desires to use in the manufacturing process require King Prawn approval. King Prawn enforces a zero tolerance policy regarding use of prison labor, forced labor, slavery or human trafficking. Action will be taken against any vendor for non-compliance, resulting in potential termination of our business relationship. In order to verify compliance by our vendors, King Prawn reserves its right to review all vendor partner facilities, including the use of unannounced on-site inspections of manufacturing facilities.

Certification

In addition to this policy, any vendor desiring to do business with King Prawn must adhere to our Purchase Order Terms and Conditions ("Our Terms"), the contract under which we purchase goods. Our Terms expressly require a vendor to represent and warrant that its goods (as well as all materials which are incorporated therein) are manufactured in accordance with our Policy and all applicable laws, including — without limitation — those regarding slavery and human trafficking of the country(ies) in which the vendor does business. King Prawn pursues affirmative measures to monitor compliance with our Policy and Our Terms, and to hold our vendors accountable as also described herein.

Internal Accountability

King Prawn is responsible for the day-to-day duties and administration of its compliance efforts. Accordingly, these assessments and all decisions regarding the compliance status of potential factories that may be used to produce private and exclusive merchandise for King Prawn are weighed heavily throughout product purchase negotiations and ongoing evaluations.

Potential violations of this Policy or other ethical or legal concerns can be reported through our existing Contact Us mechanisms or external reporting mechanisms found on our website.

Training

King Prawn provides training to relevant King Prawn employees regarding identification and mitigation of the risks covered by this policy. For employees who have direct responsibility for supply chain management, we provide additional training on human trafficking and slavery, particularly with respect to mitigating those risks within the supply chain. King Prawn also conducts internal training sessions for Product Development employees regarding these Policy requirements.
